1. Definitions

“Client” means the healthcare provider, practice, or entity that enters into a service agreement with RWG.
“Services” include medical billing, revenue cycle management, credentialing, coding, denial management, and related offerings.
“User” means any individual who accesses our website or uses the Services on behalf of a Client.

2. Eligibility

By using our Services, you represent that you are at least 18 years old and have the authority to bind your organization to these Terms. The Services are intended for healthcare providers and business entities located in the United States.

3. Service Agreement & Fees

Specific services, fees, and payment terms will be outlined in a separate service agreement or statement of work. In the absence of such an agreement, these Terms govern basic website use. For billed services, payment is due within 30 days of invoice unless otherwise agreed. Late payments may incur interest of 1.5% per month.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information necessary for billing and credentialing.
• Maintain all required licenses, certifications, and authorizations.
• Notify RWG promptly of any changes in practice information, payer contracts, or compliance requirements.
• Cooperate with RWG in the event of an audit or dispute with a payer.

5. Compliance & HIPAA

RWG will comply with all applicable federal and state laws, including HIPAA. We will enter into a Business Associate Agreement (BAA) with Clients as required by law. You are responsible for ensuring that your use of the Services complies with your own privacy and security obligations.

6. Intellectual Property

All content, software, and materials provided by RWG (excluding client data) are the property of RWG or its licensors and are protected by copyright, trademark, and other laws. You may not reproduce, modify, or distribute any RWG materials without prior written consent.

7. Confidentiality

Each party agrees to hold the other’s Confidential Information in strict confidence. “Confidential Information” includes non-public business, financial, and technical information, as well as patient data protected by HIPAA. This obligation survives termination of these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, RWG shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to these Terms or the Services. Our total liability shall not exceed the fees paid by you during the twelve months preceding the claim. Some jurisdictions do not allow limitations of liability, so this may not apply to you.

9. Indemnification

You agree to indemnify and hold RWG harmless from any claims, losses, or damages arising out of your breach of these Terms, your violation of law, or your negligence in providing patient care or handling patient information.

10. Termination

Either party may terminate a service agreement with 30 days’ written notice. RWG may suspend or terminate access to the Services immediately if you breach these Terms or fail to pay amounts due. Upon termination, you must pay all outstanding fees and return or destroy any Confidential Information.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any dispute arising out of these Terms shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia. You consent to the personal jurisdiction of such courts.

12. Changes to Terms

We may update these Terms from time to time. The “Effective Date” at the top indicates when it was last revised. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

13. Contact Information

These Terms of Service constitute the entire agreement between you and RWG Life Sciences, LLC regarding the use of our Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
